Referral Scheme Terms and Conditions.

Affiliate Program Terms and Conditions (the "Agreement")

This Agreement governs your participation in our Affiliate Program (the "Program"). By enrolling in the Program, you agree to comply with the following terms and conditions.

1) Eligibility

To participate, you must be at least 18 years old, reside or work in the United Kingdom, and possess a PayPal account to receive commissions.

2) Referral Commission

As an affiliate, you will earn a commission based on the monthly net revenue generated by each new customer you refer to our product, applicable for the first 12 months of their subscription. The commission rate, agreed upon when you join the program, is calculated each month as long as the referred customer maintains an active subscription. Commissions are determined from the net revenue after any applicable discounts and fees are applied.

3) Payment Schedule and Method

Commissions will be paid out each month, provided your commission balance exceeds £50. Payments will be made via PayPal to the account provided at registration. If your balance is below £50, it will be rolled over to the next payment cycle.

4) Chargebacks and Refunds

If a referred customer cancels their subscription, fails to make a payment or requests a refund, any commissions earned on that referral will be deducted from future payments.

5) Referral Link

Upon registering as an affiliate, you will receive a unique referral link. When a customer clicks your referral link and signs up for a free trial, they will be tracked as your referral. If they convert to a paid subscription at the end of the trial, you will be eligible to receive commission based on their monthly subscription fee, after any discounts and fees are applied.

6) Prohibition of Self-Referrals

You are prohibited from signing up for our service using your own affiliate link. Self-referrals will result in a permanent ban, and any earned commissions will be forfeited.

7) Abuse and Misrepresentation

We do not tolerate attempts to abuse, manipulate, or mislead our affiliate system. Any actions, including posting fake discounts or engaging in fraudulent activities, will lead to an immediate and permanent ban from the Program.

8) Advertising Restrictions

Affiliates are prohibited from running any advertisements (e.g., search engine ads, Facebook ads) that compete with our own marketing campaigns, especially on branded terms or domain names. Violating this condition may result in account termination.

9) Impersonation Prohibited

Affiliates must not impersonate or represent themselves as employees or official representatives of our company. Misrepresentation will result in immediate termination of your affiliate account.

10) Compliance with Laws

Affiliates are responsible for ensuring that their marketing efforts comply with all applicable laws and regulations, including, but not limited to, consumer protection laws, data protection regulations (such as GDPR), and advertising guidelines.

11) Confidentiality

Affiliates must maintain the confidentiality of any proprietary information, including customer data, pricing details, and marketing strategies, that they may have access to as part of their participation in the Program.

12) Non-Exclusivity

Nothing in this Agreement shall be construed as creating any form of exclusive arrangement between you and us. You are free to participate in other affiliate programs, and we are free to engage other affiliates.

13) Tracking and Reporting

You will have access to a personalized affiliate dashboard, where you can track your referral links, view your commission earnings, and monitor customer conversions in real time.

14) Termination of Affiliate Program

We reserve the right to modify, suspend, or terminate the Affiliate Program at any time, for any reason. In the event of program termination, we will provide 30 days notice via email or a prominent notice on our website. Any outstanding commissions due to you at the time of termination will be paid in accordance with our regular payment schedule.

15) Termination of Affiliate Account

We reserve the right to terminate your participation in the Program at any time for any violation of these terms. In the event of termination, we will provide written notice to the affiliate.

16) Right to Reject Affiliates

We reserve the right to reject any affiliate application at our sole discretion, for reasons including, but not limited to, a conflict of interest or misalignment with our company values.

17) Modifications to the Agreement

We reserve the right to amend these terms and conditions at any time. Changes will be posted on our website, and it is your responsibility to review and comply with the updated terms.

18) Liability

We will not be liable for any indirect, special, or consequential damages, including loss of profits, revenue, or data, arising from participation in the Program.

19) Governing Law

This Agreement is governed by and construed in accordance with the laws of the United Kingdom.

20) Disputes and Arbitration

Any disputes arising from participation in the Program will be settled amicably. If an agreement cannot be reached, disputes will be subject to the jurisdiction of the courts in the United Kingdom.

21) Cookie and Tracking Consent
Affiliates must ensure that their websites are GDPR-compliant and include appropriate notices regarding cookie usage and tracking. By using our referral links, affiliates agree to place tracking cookies as necessary, with proper consent from the users.

22) Data Privacy and Protection
Affiliates are responsible for ensuring that they protect any customer data in accordance with applicable data protection regulations. This includes handling personal data lawfully and maintaining adequate data security measures.

23) Non-Transferability of Accounts
Affiliate accounts are non-transferable and may only be used by the individual or business entity that originally signed up for the Program. Attempting to transfer or sell your affiliate account will result in immediate termination.

24) Inactive Affiliates
If your affiliate account remains inactive (i.e., no referral activity) for more than 12 months, we reserve the right to terminate your account and forfeit any pending commissions.

25) Tax Responsibility
Affiliates are solely responsible for any tax obligations associated with the commissions earned through participation in the Program.

26) Force Majeure
Neither party shall be liable to the other for any delay or failure to perform its obligations under this Agreement, where the delay or failure results from events beyond the reasonable control of either party, including, but not limited to, natural disasters, strikes, or governmental regulations.

27) Affiliate Code of Conduct
Affiliates are expected to adhere to ethical marketing practices and maintain a positive reputation in the marketplace. Affiliates should not engage in activities that would damage our reputation, including spamming, misleading advertising, or any illegal activity.

28) Entire Agreement

These terms and conditions constitute the entire Agreement between you and us concerning the Program, superseding all prior agreements and understandings.
